General Counsel

The General Counsel is the chief officer of a company’s legal activities related to the business. The responsibilities of the General Counsel are numerous and include: regulatory and compliance issues; accountability for the negotiation and execution of all contracts; serving as the face of the Company to outside constituents such as vendors, suppliers, customers, outside legal and accounting firms, media outlets and governmental agencies; controlling outside legal costs; identifying and assessing risk and risk management programs; conducting oversight of outside counsel; managing litigation; developing and maintaining good working relationships with senior management; reviewing the corporation’s licensing practices; and keeping informed of the requirements of a multi-jurisdictional practice.

Cohan PLLC’s Outside General Counsel Services

Cohan PLLC’s outside general counsel services help companies from founders with an idea (who are typically pre-incorporation) to established later-stage businesses (our sweet spot is middle-market firms) grow in a sustainable way while mitigating structural and legal risk as they evolve and mature.

As outside general counsel, Cohan PLLC offers various services focused on ensuring our clients, their boards of directors, and their senior management are all acting based on legally sound principles. Cohan PLLC’s goal is to deliver comprehensive and reasoned guidance related to all legal and business issues.

Cohan PLLC provides each one of these services as if the Cohan PLLC attorney assigned to the client were a full-time employee of the Company. Cohan PLLC provides this service at approximately half the cost of a traditional general counsel. Cohan PLLC clients experience none of the typical delays of outside counsel, a fraction of the expense, and the benefit and value of a full-time General Counsel.

Similar to full-time General Counsel, the expense of Cohan PLLC’s General Counsel is a fixed cost to your emerging business, with no ticking clock counting off the billable hours. Cohan PLLC’s General Counsel is committed and available 24 hours, 7 days a week, with a guaranteed response time of 2 hours.
